Terms and Conditions - Master Resell Rights Digital Products
These Terms and Conditions ("Agreement") govern your use of the Master Resell Rights ("MRR") digital products provided by Escaping 9to5 Life. By accessing or using the MRR digital products, you agree to be bound by this Agreement. If you do not agree to these terms, you may not use the MRR digital products.
1.Grant of License:
1.1 Escaping 9to5 Life grants you a non-exclusive, non-transferable license to resell the digital products provided under the MRR license.
1.2 You may sell the digital products, grant your customers the right to resell them, and retain the profits generated from such sales.
1.3 You may modify the digital products as necessary, but you must ensure that the modifications do not violate any applicable laws or infringe upon any third-party rights.
2. Intellectual Property:
2.1 The digital products provided under the MRR license are protected by copyright and other intellectual property laws.
2.2 You acknowledge and agree that the Company retains all ownership and intellectual
property rights in the digital products.
2.3 You may not claim ownership or authorship of the digital products or any derivative works created from them.
3. Prohibited Actions:
3.1 You may not resell or distribute the digital products in a manner that violates any
applicable laws or regulations.
3.2 You may not sublicense, assign, or transfer the MRR license or any rights granted under this Agreement to any third party without the prior written consent of the Company.
3.3 You may not use the digital products to create or promote any illegal, obscene, or
defamatory content.
3.4 You may not remove or alter any copyright notices, trademarks, or other proprietary
markings on the digital products.
4. Disclaimer of Warranty:
4.1 The digital products are provided on an "as-is" basis without any warranties, express or implied.
4.2 Escaping 9to5 Life disclaims all warranties, including but not limited to, the implied
warranties of merchantability, fitness for a particular purpose, and non-infringement.
4.3 Escaping 9to5 Life does not guarantee the accuracy, completeness, or usefulness of the digital products or their suitability for any specific purpose.
5. Limitation of Liability:
5.1 In no event shall Escaping 9to5 Life be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in connection with the use or inability to use the digital products.
5.2 You agree to indemnify, defend, and hold harmless the Company from any claims, damages, liabilities, or expenses (including legal fees) arising out of your use of the digital products or any breach of this Agreement.
6. Termination:
6.1 Escaping 9to5 Life reserves the right to terminate this Agreement and revoke your MRR license at any time without prior notice.
6.2 Upon termination, you must cease all use of the digital products and remove them from any websites, platforms, or other mediums where they are being offered for sale.
7. Governing Law and Jurisdiction:
7.1 This Agreement shall be governed by and construed in accordance with the laws of [Your Country/State].
7.2 Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts located in The United States of America.
8. Entire Agreement:
8.1 This Agreement constitutes the entire agreement between you and Escaping 9to5 Life regarding the MRR digital products and supersedes all prior agreements, understandings, or representations, whether oral or written.
By accessing or using the MRR digital products, you acknowledge that you have read, understood, and agreed to be bound by this Agreement.
9. Amendments:
9.1 Escaping 9to5 Life reserves the right to modify or amend this Agreement at any time,
without prior notice.
9.2 Any changes to this Agreement will be effective immediately upon posting the updated version on Escaping 9to5 Life’s website or notifying you through other means of communication.
9.3 It is your responsibility to review this Agreement periodically to stay informed of any updates or changes.
10. Severability:
10.1 If any provision of this Agreement is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue to be valid and enforceable to the fullest extent permitted by law.
10.2 In such cases, the parties agree to replace the invalid or unenforceable provision with a valid and enforceable provision that achieves the original intent of the Agreement.
11. Waiver:
11.1 The failure of Escaping 9to5 Life to enforce any right or provision of this Agreement shall not constitute a waiver of that right or provision, unless expressly stated in writing.
12. Survival:
12.1 The rights and obligations contained in this Agreement, which by their nature extend beyond the termination or expiration of this Agreement, shall survive such termination or expiration.
